　第一條

　總則 Article 1 General Principles

　1.1 合同文件 Contract Documents

　本合同包含合同、展示、施工圖紙、作法說明、招投標文件以及合同所指的其他文件，它們均被視為合同的一部分。合同文件應該能夠相互解釋，互為說明。組成本合同的文件及優(yōu)先解釋的順序如下：本合同、中標通知書、投標書及其附件、標準、規(guī)范及有關技術文件、圖紙、工程量清單及工程報價單或預算書。合同履行中，發(fā)包人承包人有關工程的洽商、變更等書面下一或文件視為本合同的組成部分。

　This contract includes the contract itself, exhibits, construction drawings, explanations of work procedures, tender documents, as well as other documents specified by the contract. The contract documents should be mutually explainable and mutually descriptive. The documents that constituted the contract and the priority hierarchy of explanations of the documents are as follows: this contract; the official letter of winning the tender; Letter of bidding and its annex, standards, guidelines, and relevant technical documents, drawings, Bill of Quantity (BOQ), quotation of prices, and project budget. During the implementation of the contract, any written agreements or documents between two parties such as change-orders are also regarded will be deemed as part of this contract. 1.1.1 項目概況 Project Introduction 1.1.2 工程名稱：xxxx

　Name of Project: xxxx 1.1.3 工程地點：xxxx Location of Project: xxxx 1.1.3.1 工程范圍：除了本合同其他條款另有說明外，乙方應提供為履行合同所需的所有服務，用品以及其他保障工程進行所需的必要花費以完成下列工作：

　Scope of the project: unless otherwise explained by other articles in this contract, Party B shall provide all services, utensils, and other necessary cost for the implementation of this contract; the scope of project includes, but not limited to: ※室內(nèi)裝飾工程，詳見附件一和附件二

　 Inner decoration, see appendix 1 & 2 ※室外裝飾工程（門窗、屋面、臺階等），詳見附件一和附件二

　Façade(including doors, windows, roof and stairs) see appendix 1 & 2 ※電器工程，詳見附件一和附件二

　 Electronic Engineering, see appendix 1 & 2 ※空調(diào)工程，詳見附件一和附件二

　 Air Conditioning System, see appendix 1 & 2 ※給排水及采暖工程，詳見附件一和附件二

　Water Supply, Sewage and Heating System, see appendix 1 & 2 ※消防工程

　Fire Control System, see appendix 1 & 2 ※其他圖紙上所列項目（任何對原定設計的變更應提供新的圖紙并有甲方的簽字確認）以上所有的工程項目以下統(tǒng)稱為“工程”。

　Other items listed in the construction drawings (any changed drawings shall be provided and confirmed by Party A). All these aforementioned items are generally referred as “project” hereafter.

　1.1.3.2 承包方式：乙方以包工包料，包工程質(zhì)量，包安全，包文明施工的方式承包工程

　Nature of Contracting: Party B shall be responsible for both labor and materials for this project, and will responsible for the quality of this project, safety, as well as code of conduct during the construction project. 1.1.4 甲方工地代表由甲方指派。

　On-site representative of Party A shall be appointed by Party A 1.1.5 開工日期 xxxx

　Date of the project beginning: xxxx 1.1.6 竣工日期 xxxx

　Date of the project completion: xxxx 1.1.7 工程質(zhì)量：質(zhì)量合格，達到本合同要求和國家質(zhì)量驗收標準，并確保竣工驗收一次合格。驗收內(nèi)容包括但不僅限于：①隱蔽工程；②分項工程；③實驗報告；④材料檢驗報告。如果由于驗收未能一次通過而導致后續(xù)工程開工的延遲，乙方將按照每日工程總款的 2‰金額賠償給甲方作為罰金，但最多不超過工程總價款的 5%。

　 Quality of Project: The quality should be “Excellent”, and shall meet the requirements by this contract and the National Quality Standards, and should be guaranteed to be accepted at

　the first attempt upon project completion, and shall also LEED certified. The scope of as-built acceptance includes, but not limit to: ①concealed work, ②itemized project, ③reports of experiments, and ④reports of material testing. In the event of project fails to be accepted at the first inspection and thus incurs delays beginning of the subsequent projects. Party B shall compensate Party A at the daily rate of 2‰ of the total contract amount as penalty, but the total amount shall not exceed 5% of the total contract amount. 1.1.8 工程資質(zhì)：在實施此合同所涉及的工程時，乙方應確保其具有相關資質(zhì)。如乙方因為不具備相關資質(zhì)導致甲方的損失或工程進度的滯后，乙方承擔全部責任。

　Qualifications: Party B represents and warrants it is competent and legitimate to carry out the services that set forth under this Agreement when implementing this contract. Party B shall be responsible for any delay of the construction induced by their insufficient qualifications.

　1.2 合同價款：

　 Contract Amount 本合同價款為人民幣 xxxx，為固定總價合同價款。

　The total contract amount is xxxx, which is fixed contract amount 本合同包括設備材料費、人工費、機械費、管理費、利潤、稅金、代辦費用、保險費、運輸費、勞務費用、總承包服務費以及為完成工程所必須的其他一切費用，和工程各系統(tǒng)檢驗檢測、安裝調(diào)試等費用。該款項為甲方應付給乙方的全部費用，并已經(jīng)包含物價變動因素。

　This agreement includes the cost of equipment and materials, labor cost, machinery cost, management cost, profit, tax, government charges on behalf of Party A, insurance, transportation, labor, subcontract service fee, and all other cost for the completion of the project, as well as every system testing, installation, and commissioning costs. This total contract amount is exact amount that Party A shall pay to Party B and it includes the fact of price fluctuation.

　1.3 工程結(jié)算

　 Final Audit of project 1.3.1 本工程計價依據(jù) GB50500-2008《建設工程工程量清單計價規(guī)范》采用固定總價，除施工期間甲方要求變更現(xiàn)有圖紙及發(fā)生的增減項洽商，甲方將作價格調(diào)整。

　This project is using fixed total amount according to GB50500-2008 the Pricing Guidelines by Code of Quantity in Construction Projects, except that Party A may make price adjustment in the event of the existing construction drawings are changed or add or remove any construction work according to the request of Party A 1.3.2 所有的人工費用都不得以任何理由進行過調(diào)整，結(jié)算時只接受投標文件中約定的價格。

　All labor cost shall NOT be adjusted in any event. Only the prices stimulated in the bidding documents are accepted at the final audit after completion. 1.3.3 因工程調(diào)整而產(chǎn)生的工程洽商，如洽商費用超過人民幣五萬元整，則洽商文件必須在工程中期驗收當日被提交給甲方，所產(chǎn)生的洽商費用在交付中期款時一并核算結(jié)清。如洽商費用低于五萬元人民幣整，則洽商文件必須在工程驗收當日內(nèi)提交給甲方，所產(chǎn)生的費用在交付工程驗收款時一并核算結(jié)清。

　If the cost of change orders are over RMB 50,000 Yuan, then all change orders issued because of the construction adjustments shall be submitted to Party A on the same day of the construction mid-term check and acceptance, and the approved amount will be paid to Party B with the construction mid-term payment; if the costs of the change orders are less than 50,000 Yuan, then all change orders issued because of the construction adjustments shall be submitted to Party A on the same day of the construction completion check and acceptance, and the approved amount will be paid to Party B with the construction completion payment.

　第二條：政府批復 Article 2 Government Approvals 2.1 乙方負責協(xié)助甲方辦理此項施工需要辦理的所有政府報批，包括但不僅限于消防、環(huán)保的報批與其他與本工程相關的報批，甲方負責政府行政審批的費用。

　Party B shall be responsible to process government approvals related to the project, including but not limited to: fire control, environment protection and other approvals related to this Project. Party A is responsible for the costs of these approvals 2.2 乙方負責其工程報備 Party B shall be responsible for construction applications, approvals and related costs. 2.3 乙方應承擔 2.2 所述報備不全而導致的政府罰金，并且不能順延工期。

　Party B shall be responsible for any government fines due to incomplete approval processes, and should NOT cause delay in the construction period.

　第三條：甲方的權利和義務 Article 3 Rights and Obligations of Party A 3.1 向乙方提供經(jīng)確認的施工圖紙或做法說明五份，并向乙方進行現(xiàn)場交底，向乙方提供施工所需要的水電設備，并說明使用注意事項。

　Party A shall provide FIVE copies of confirmed construction drawings and explanations of work procedures, and shall conduct technical clarification. Party A shall provide Party B with necessary water and power equipment and the instructions on using the equipment. 3.2 指派 xxxx 為甲方駐工地代表，負責合同的履行。對工程質(zhì)量、進度進行監(jiān)督檢查，辦理驗收、變更事宜。甲方的工地代表如果認為乙方的某雇員行為不當或散漫不羈，或甲方認為該雇員不能勝任，則乙方應立即進行撤換，并且未經(jīng)甲方實現(xiàn)書面許可，乙方不得在施工中再行雇傭該等人員。被撤換的任何人員應盡可以能立即由甲方代表所批準的勝任的人員代替。

　Party A appoints xxxx as the on-site representative to supervise the fulfillment of contract obligations, to oversee the quality control and check the project progress, and to handle issues such as acceptance and variations.

　In the event of the on-site representative of Party A believes that any employee of Party B has improper conduct or misbehaviors, or if Party A consider such employee is not competent for the relevant work, Party B shall dismiss and replace this employee immediately; and unless having received consent by Party A in writing in advance, Party B shall no longer hire the specified employee in the following phase of this project.

　Party B should make every effort to replace the dismissed employee with competent personnel authorized by on-site representative of Party A.

　3.3 甲方按照付款約定向乙方支付工程款。

　Party A should make payments to Party B according to the payment terms. 3.4 如甲方認為乙方確已無能力繼續(xù)履行合同的，則甲方有權解除合同，乙方必須在接到甲方書面通知后兩周內(nèi)撤離場地以便乙方繼續(xù)施工。對乙方完成工程量的結(jié)算不作為撤離場地的條件，結(jié)算應在竣工一個月之內(nèi)完成，付款方式按照本合同條款。

　In the event of Party A consider Party B is indeed unable to further fulfill its contract obligations, then Party A has the right to terminate the contract, and Party B should vacate the project site within two weeks after receiving Party A"s notice, so that Party A can resume construction as soon as possible.

　Confirmation of finished quantity shall NOT be regarded as a prerequisite to Party B"s vacation of the project site, and the confirmation should be processed within one month after the project completion.

　Payment shall be made according to the payment terms in this contract. 3.5 甲方有權要求乙方按照甲方的組織設計和施工工期進行施工，乙方如對甲方的要求和指令不予執(zhí)行的，則按照乙方違約處理，乙方應承擔違約責任。

　Party A has the right to instruct Party B to do the construction according to Party A"s organization and planned construction period; in the event of Party B ignores and refuses to observe Party A"s instructions, Party B will be deemed as breach of the contract, and Party B shall be held responsible for the liabilities of breaching the contract. 3.6 甲方有權要求乙方服從甲方的統(tǒng)一安排和管理，乙方的施工人員必須遵守各項規(guī)章制度。對于乙方施工人員違規(guī)操作所產(chǎn)生的后果，乙方承擔全部責任。甲方有權從工程總價款中扣除相應的款項。

　Party A has the right to instruct Party B to observe the general arrangement and management by Party A, and the construction staffs of Party B must observe all rules and regulations.

　Party B shall be fully responsible for the consequences of such violations by the staff of Party B.

　Party A has the right to directly deduct the corresponding amount from the total contract amount. 3.7 甲方所有的通知可以以書面或口頭形式發(fā)出，乙方接獲甲方的通知后應根據(jù)通知規(guī)定的內(nèi)容執(zhí)行。

　All notices from Party A can be made both in writing and orally, but the oral instructions are only applicable to the representative of Party A.

　Party B shall, upon receiving notices from Party A, execute the corresponding matters according to the content of the notices. 3.8 未經(jīng)甲方同意，乙方不得將工程轉(zhuǎn)讓或分包，對于乙方將工程擅自轉(zhuǎn)讓或分包的，甲方有權解除合同，乙方必須接受并承擔由此造成的一切后果。

　Party B shall NOT transfer or subcontract the project to any third party without the consent of Party A; in the event of Party B transfers or subcontracts the project to any third party without the consent of Party A, Party A has the right to terminate the contract, and Party B must accept and be responsible for any consequence of such violation. 3.9 甲方有權制定專業(yè)分包商，并按照乙方在投標文件中承諾的配合管理費率向乙方支付配合管理費。

　Party A has the right to appoint special sub-contractors, and shall pay the management fee to Party B according to the rate of subcontract management and coordination fee stipulated in

　the bidding documents 3.10 按照招標文件中的相關條目，甲方有權自行采購材料供給乙方，并按照乙方在投標文件的相關條目中汲取人工費、機械費、輔助材料費等向乙方支付費用。甲方?jīng)]有義務向乙方支付其他費用。

　Party A has the right to purchase and provide Party B with materials on its own, and shall pay labor cost, machinery cost, and accessory cost to Party B according to the relevant terms in the bidding documents. Party A has no obligations to pay any other costs to Party B

　第四條：乙方的權利義務 Article 4 Rights and Obligations of Party B 4.1 參加甲方組織的施工圖紙或做法說明的現(xiàn)場交底，擬定施工方案和進度計劃，交由甲方審定。施工過程中，乙方按照甲方的有關指示及修改變更要求進行相應調(diào)整。

　Party B shall participate in the technical clarification on construction drawings and explanations of work procedures organized by Party A, and should develop the construction plan and the progress schedule for Party A to review.

　During construction, Party B should make such adjustment to the construction plan and the progress schedule per Party A"s instruction and change-orders. 4.2 指派 xxxx 為乙方駐工地代表，負責合同的履行，按照要求組織施工，保質(zhì)保量、按期完成施工任務。解決由乙方負責的各項事宜。乙方駐工地代表在本公司的工作時間不得少于 90%工作日。

　Party B appoints xxxx as the on-site representative of Party B to take charge of fulfilling the contract obligations. The on-site representative of Party B shall organize the construction according to contract requirements so that the project can be completed according to the quality and quantity requirements and on a timely manner.

　The on-site representative of Party B shall work on the project site for no fewer than 90% of the total working days. 4.3 嚴格執(zhí)行施工規(guī)范、安全操作規(guī)程、防火安全規(guī)定、環(huán)境保護規(guī)定。嚴格按照圖紙或做法說明進行施工，做好各項質(zhì)量檢查記錄，參加竣工驗收，編制竣工資料及工程結(jié)算。

　Party B shall strictly observe construction guidelines, safety requirements, fire safety regulations, environment protection regulations and LEED requirements.

　Party B shall do the construction by strictly adhering to the construction drawings and explanations of work procedures, and shall effectively record each QA/QC inspection.

　Party B shall attend the completion acceptance, and develop at-built submittals and final project audit. 4.4 根據(jù)甲方和設計方一致通過的設計圖紙進行施工，遵從甲方工地代表和設計方的指示，如乙方發(fā)現(xiàn)在工程標準和設計圖之間存在不一致時，應以書面形式通知甲方和設計方。

　Party B shall carry out the construction according to the design drawings agreed upon by both Party A and the designer, shall observe the instructions of designer and the representative of Party A; in the event of Party B finds inconsistence between project standards and design drawings, Party B should inform the designer and Party A in writing. 4.5 遵守國家或地方政府及有關部門對施工現(xiàn)場管理的規(guī)定及甲方的規(guī)章制度，妥善保護好施工現(xiàn)場周圍的建筑物、設備管線等不受損壞。做好施工現(xiàn)場保衛(wèi)、消防和垃圾消納等工作，處理好由于施工帶來的擾民問題及周圍單位（住戶）的關系；如果由于乙方導致任何設施、設備

　或管道在工地內(nèi)外受損。將由乙方賠償損失。乙方負責與甲方的施工協(xié)調(diào)事項，并獨自完全承擔所有相關責任。

　Party B shall observe policies of on-site management by the state and local government authorities as well as Party A"s rules and regulations; Party B shall compensate for the losses to any facilities, equipment or pipelines both inside and outside of the construction yard caused by party B. Party B shall be responsible for the coordination of construction issues with party A, and shall independently and fully assumes corresponding responsibilities.

　任何原建筑物結(jié)構的拆改或設備管道的挪移，乙方應向甲方申報；在甲方批復前，不得擅自動工。

　Party B should report to party A of any demolition of or variation to any original building structure or re-position of equipment pipes; Party B will refrain from any such work prior to receiving Party A’s approval 4.7

　乙方應保護所有設備以及工程成品，并承擔竣工移交前所引起損壞的損失賠償。

　Party B should protect all equipment and finished parts, and shall assume compensation responsibilities of any losses prior to completion hand-over.

　4.8

　乙方負責用擴展保險責任批單為與建筑物相關的工程以及工程所需的材料購買工程一切險，乙方及乙方分包商（以下簡稱“分包商”）應對工程進行中自己或其他方的財產(chǎn)出資購買相應的保險，這些財產(chǎn)包括：工棚，鐵架塔，腳手架，工具及其他的一些材料。

　Party B shall purchase Construction All Risks Insurance for the project and required materials related to the building structure by using extended coverage endorsement; during construction, Party B and its subcontractors (hereafter abbreviated as "subcontractors") should purchase corresponding insurance for their own or other parties" properties, such as temporary construction barracks, iron frames and towers, scaffolding, utensils and other materials.

　4.9 從工程開始至工程竣工驗收報告上所列明的日期之日止，乙方應全權負責整項工程。不管任何原因?qū)е碌墓こ痰膿p壞，乙方負責修理還原，以使整個工程竣工時能完全依照合同要求以及甲方工地代表的指示，狀況良好。

　From the beginning of construction to the completion date stipulated by the as-built acceptance report, Party B will be fully responsible for the entire project.

　Party B shall fix and reinstate and damages to the project items regardless of the cause, so that the project shall be in good condition upon completion, according to the contract requirements and the instructions of Party A"s representative. 4.10 除非合同另有規(guī)定，乙方應就下列事項獨自完全承擔如下賠償責任，并確保甲方完全免責：與因工程施工及維修而對人身造成的任何傷害或損害或?qū)ω敭a(chǎn)造成任何損害有關的所有損失及權利要求。但在下列情形下的賠償或補償除外：

　Unless otherwise specified, Party B should independently and fully assume the following compensation liabilities, and exempt Party A from all liabilities: all injury and rights claims related to any personal injuries or property damage or loss as a result of the construction project, except for the following compensation or reimbursement: 4.10.1

　工程或其任何部分永久性使用或占用工地。

　Permanent use or occupation of land by the project or any part of the project.

　4.10.2 甲方享有在任何土地上，下，里或穿越其施工的權利。

　Party A has the right to traverse the construction site from above, beneath, or inside the site. 4.10.3

　根據(jù)合同規(guī)定對財產(chǎn)的損傷或傷害是工程施工或維修之不可避免的后果時。

　The property damage or loss is an inevitable loss caused by the construction or repair according to the contra~ requirements. 4.11 乙方保證施工現(xiàn)場清潔，符合環(huán)境衛(wèi)生管理的有關規(guī)定，交工前清理現(xiàn)場達到甲方要求，如達不到甲方的要求，乙方承擔因自身違反規(guī)定造成的損失和罰款。

　Party B shall keep the construction site clean and meet the regulations of environment sanitation, and make sure the condition of the site meets the requirements of Party A.

　If the condition of the construction site does NOT meet the requirements of Party A, Party B shall be responsible for any loss or fine as a result of its own violation of such regulations. 4.12

　 乙方必須要按照施工圖所顯示的設計要求施工，并符合施工規(guī)范規(guī)定。所有因?qū)κ┕�圖的誤解或疏忽引起的施工錯誤，須返工者，其一切費用均有乙方自負，且不得因此延長完工期限。

　Party B MUST adhere to the design requirements in the construction drawings, and must meet the requirements of construction guidelines.

　Party B shall be fully responsible for any cost of rework on construction mistakes as a result of misunderstanding of the construction drawings or negligence, and shall NOT delay the completion of the project.

　4.13

　乙方應與每位施工人員訂立務工合同，辦理合法務工證件并承擔費用。

　Party B should sign labor contract with all its construction staffs, and issue proper work Be responsible for the corresponding cost. 4.14 乙方應每月按時向每位施工人員發(fā)放工資，如果乙方未按規(guī)定發(fā)放工資而給甲方帶來的任何損失，則乙方承擔完全賠償責任。

　Party B should make salary/wages payment to all construction staffs in time on a monthly basis, and will be fully responsible for any liabilities caused by any loss or damage to Party A as a result of Party B"s failure to pay salaries and wages according to the requirements. 4.15 在履行本合同過程中如對任何第三人造成任何侵害和損失，或違反任何相關國家法律法規(guī)，乙方對其行為和行為后果承擔全部責任。

　Party B shall take full responsibility for its actions or consequences caused by its actions which cause infractions to any third party and cause any violations to related state laws and regulations when implementing this contract. 4.16 乙方應對本工程所有的分包商負有管理和提供總包服務的義務，包括但不限于材料報審、工程預驗收和報審、分包付款申請的審批、工程資料編制等。

　 Party B shall take the responsibilities of sub-contractor management and providing services designated to general contractor, which includes but not limited to: submitting and acquiring construction materials" approval, construction pre-examination and submitting for approval, review and approve payment applications from sub-contractors and construction document filing, etc

　第五條 付款條約

　Article 5 Payment Terms

　5.1 雙方商定本合同價款編制采用工程量清單計劃規(guī)范，固定合同總價，除施工期間甲方要求變更現(xiàn)有圖紙，甲方將作價格調(diào)整。

　The parties agree to use fixed total amount according to GB50500~2008 the Pricing Guidelines by Code of Quantity in Construction Projects, except that Party A may make price adjustment in the event that the existing construction drawings are changed according to the request of Party A. 5.2 本工程付款方式：工程開工后 5 個工作日內(nèi)甲方支付總工程款的 30%，室外門窗及幕墻工程驗收合格后 5 個工作日內(nèi)甲方支付總工程款的 20%，室內(nèi)中間驗收完成后 5 個工作日內(nèi)甲方支付總工程款的 20%，工程完工驗收合格并乙方向甲方提交完整的竣工資料后 5 個工作日內(nèi)支付工程總價款的 27%，工程完工驗收合格保修期一年后 5 個工作日內(nèi)支付工程總價款的 70000元。

　Payment terms: Party A shall pay 30% of the total contract amount to Party B within 5 working days after signing of the contract; 20% of the total contract amount shall be paid within 5 working days after the facade is finished; 20% of the total contract amount shall be paid within 5 working days after the construction mid-term check and acceptance is completed; 27% of the total contract amount 70000 Yuan shall be paid within 5 workings after the construction completion check and acceptance.

　第六條 開始與延期 Article 6 Beginning and Delaying of Project

　6.1 整個工程應在開工后 xxxx 日天內(nèi)完成。

　The whole project should be completed within xxxx

　calendar days after the beginning of the project. 6.2 非本合同規(guī)定的可以延期的情形外，如果甲方代表認為工程或其部分工程的進度太過緩慢以至無法保證工程在規(guī)定時間或延長的完工期間內(nèi)完工，乙方應隨即采取必要的措施，甲方代表可批準加快進度以在規(guī)定時間或約定的延長期內(nèi)完成工程或其任何部分。乙方無權因采取該措施而獲得額外支付。

　Unless otherwise specified by the contract as acceptable conditions of delay, in the event of the on-site representative of Party A believes that the progress of the project or any part of the project substantially lags behind schedule, which may cause Party B unable to complete the project within the required construction period or any extended construction period agreed upon, Party B shall promptly take necessary measures under the authorization of the on-site representative of Party A to expedite the progress so that the project or any part of the project could be completed within the required construction period or any extended construction period agreed upon.

　Party B is NOT subject to any additional compensation for the measures taken. 6.3 如果由于非乙方原因?qū)е碌墓こ掏９ぃ�比如工地停電、停水，該情形持續(xù)每滿 8 小時，竣工日期往后順延一天，乙方應有書面記錄并經(jīng)甲方代表簽字。

　Suspension of the construction work as a result of non-Party B"s factors, such as power failure and water supply cut-off, the completion date shall be postponed by one day for every 8 hours of such conditions.

　Party B should inform Party A immediately in such events and make record of the condition in writing for the representative of Party A to sign off.

　第七條 保修 Article 7 Warranty

　7.1 乙方保證以一流精湛的工藝完成工程，并保證除其他機械或設備外，整個工程無瑕疵，但隱性瑕疵不受此限。乙方應按相關規(guī)定對該工程在設計使用年限內(nèi)提供保修。

　Party B shall complete the project with excellent workmanship and guarantees that, except for other machines or equipment, the project as a whole will be free of defect within eighteen months after the completion acceptance or prior to the last payment (whichever is later); warranty on hidden defects is not limited to this date. The warranty period shall be in accordance with the relative regulations and designed working life. 7.2 在工程建設過程中，或上述保修期內(nèi)，乙方應及時修復材料或人工的瑕疵，由此引發(fā)的損失或損壞將有乙方完全賠付。

　During the whole construction period or the aforementioned warranty period, Party B shall repair any defects of material and workmanship on a timely manner; and Party B shall be fully responsible for any losses or damage caused by such defects. 7.3 在保修期內(nèi)，乙方指派專人負責維護。隱性的瑕疵應在發(fā)現(xiàn)問題后 24 小時內(nèi)修復，影響甲方正常運營的應在 4 小時內(nèi)到現(xiàn)場修復。如果乙方未能及時修復，甲方有權利自行決定雇傭第三方進行修復，由此發(fā)生的費用將由乙方來承擔。

　During the warranty period, Party B shall appoint special personnel for the maintenance. Hidden defects should be fixed within 24 hours after being detected, and those that have an influence on Party A"s normal operation should be fixed within 4 hours on the spot.

　In the event of Party B fails to fix the defects on a timely manner, Party A has the right to hire a third party to do the repair, and any cost incurred shall be burdened by Party B.

　第八條 關于工程質(zhì)量及驗收的約定 Article 8 Agreement on Quality and Acceptance

　8.1 雙方同意本工程將以施工圖紙、作法說明、設計變更和《建筑裝飾和裝修工程質(zhì)量驗收規(guī)范》 （GB50210—2001）、《建筑工程質(zhì)量驗收統(tǒng)一標準》（GB50300—2001）、《建筑電氣工程施工質(zhì)量驗收規(guī)范》（GB50303—2002）、《通風與空調(diào)工程施工質(zhì)量驗收規(guī)范》（GB50243—2002）、《建筑給排水及采暖工程施工質(zhì)量驗收規(guī)范》（GB50242—2002）等國家制定的施工及驗收規(guī)范為質(zhì)量驗收標準。

　The parties agrees that the construction drawings, explanations of work procedures, design change-orders and such national guidelines on construction and acceptance as the Quality Acceptance Criteria of Construction, Decoration, and Remodeling Projects (GB50210--2001), the General Quality Acceptance Standards of Construction Projects (GB50300--2001), the

　Quality Acceptance Guidelines of Mechanics and Engineering Projects of Construction (GB50303-2002), the Quality Acceptance Guidelines of HVAC Projects (GB50243-2002), the Quality Acceptance.

　Guidelines of Water Supply, Sewage, and Heating Systems in Construction (GB50242-2002) are regarded as the acceptance standards for the project. 8.2 本工程質(zhì)量應達到國家質(zhì)量驗收標準，并確保一次驗收合格。

　This project should meet the national quality acceptance standards and should be accepted at the first inspection after completion. 8.3 甲，乙雙方應合力辦理隱蔽工作和中間工程的檢查與驗收手續(xù)。乙方應提前 24 小時書面通知甲方參加各類驗收，甲方如果未能及時參加隱蔽工程和中間工程驗收，乙方可自行驗收，甲方應予承認。若甲方要求復驗時。乙方應按照要求辦理復驗。若復驗合格，甲方應承擔復驗費用，由此造成停工的，工期順延；若復驗不合格，其復驗費用由乙方承擔，且工期不予順延。

　Two Parties shall jointly undertake the mid-term inspection and acceptance process for concealed work.

　Party B shall inform Party A in writing of all kinds of inspection and acceptance 24 hours in advance.

　In the event of Party A fails to participate in the mid-term acceptance of concealed work, Party B can do the acceptance independently; Party A should accept such acceptance. When Party A requests a re-inspection, Party B shall carry out the re-inspection accordingly.

　If the result of re-inspection has passed acceptance standards, Party A shall be responsible for the re-inspection cost, and the project period shall be extend by the duration of project suspension caused by such re-inspections; If the result of re-inspection has NOT passed acceptance standards, Party B shall be responsible for the re-inspection cost, and the project period shall NOT be extended. 8.4 乙方應確保甲方對于因乙方所提供的劣質(zhì)材料而引發(fā)的任何事件后果完全免責，其返工費用由乙方承擔，工期不予順延。

　Party B should guarantee that Party A is fully exempted from liabilities for any events as a result of materials with poor quality; the cost of re-work shall be burdened by Party B, and the project period shall NOT be extended. 8.5 工程竣工后，乙方應通知甲方驗收，甲方自接到驗收通知 3 個工作日內(nèi)組織驗收，并辦理驗收、移交手續(xù)。如甲方在規(guī)定時間內(nèi)未能組織驗收，需及時通知乙方，另行確定驗收日期。

　 Upon completion of project, Party B should inform Party A to process completion acceptance; Party A shall arrange inspection and acceptance within 3 working days after receiving the notification, and shall handle the inspection and hand-over processes.

　In the event of Party A could NOT arrange the inspection and acceptance within the required period, Party A should inform Party B and reschedule the date for acceptance on a timely manner. 8.6 乙方在向甲方提交竣工驗收申請的同時，應提交相關的竣工資料和竣工圖。

　Party B shall submit relevant as-built submittals and as-built drawing when submitting the request for completion acceptance to Party A. 8.7 竣工驗收后，乙方必須在 7 天內(nèi)，完成場地清退工作，并向甲方做好各項交接工作包括文件、設備和工具等。

　After the completion acceptance, Party B must finish the vacation of the project site within 7 days and complete all hand-over processes including documents, equipment, and utensils 8.8 甲方代表可對每一工作日得工程質(zhì)量進行檢查檢驗。甲方代表對工程質(zhì)量提出整改或返工通

　知后，乙方必須在規(guī)定時間內(nèi)按要求完成。

　The on-site representative of Party A may carry out the inspection of the project quality on any single work day.

　Having received the notification of correction or re-work due to inadequate quality from the representative of Party A, Party B shall complete the work within the required time frame.

　第九條 關于材料設備的約定 Article 9 Agreement on the Supply of Materials and Equipment

　9.1 本工程甲方負責采購供應的材料、設備（見附表），應為全新的合格產(chǎn)品，并應按時供應到現(xiàn)場。凡約定由乙方提貨的，甲方應將提貨手續(xù)移交給乙方，由乙方承擔運輸費用。如果由于甲方提供的材料設備質(zhì)量低劣或規(guī)格差異，對工程造成損失，責任由甲方承擔。甲方供應的材料，經(jīng)乙方驗收后，由乙方負責保管。由于乙方保管不當或被盜所造成的損失，由乙方負責賠償。

　All materials and equipment (see the attached table) that Party A orders should be brand new and qualified products, and should be delivered to the construction site as scheduled.

　Party A shall hand over pick-up paperwork to Party B for anything that needs Party B to pick up, and Party B shall be responsible for the cost of transportation.

　In the event of materials and equipment provided by Party A are poor in quality or have difference in technical specifications, and have incurred losses to the project, Party A shall be responsible for the losses.

　Having accepted the materials provided by Party A, Party B shall be responsible for the storage and protection of the materials.

　Party B shall be responsible for the compensation of any loss as a result of improper protection by Party B or theft. 9.2 本工程一般材料、設備原則上由乙方負責采購供應、場內(nèi)運輸及現(xiàn)場保管、就位等。對所選用的材料和設備的品牌及產(chǎn)地，乙方應事先征得甲方認可方可采購。電器材料配件、設備應優(yōu)先采用名牌產(chǎn)品或中外合資產(chǎn)品。甲方有權在合同價格范圍內(nèi)指定部分材料采購，但不能免除乙方對工程質(zhì)量、安全、成品保護、保修等相關責任。所有材料必須是全新的。

　In principle Party B should be responsible for the acquisition, on-site transfer, protection, and positioning of general materials and equipment of this project.

　Brands and manufacturer of the materials and equipment should be confirmed by Party A prior to purchase.

　Famous brands or products from Joint Venture vendors are preferred for electric appliances and accessories.

　Party A has the right to appoint pat of the materials within the contract price range, but Party B"s liabilities of project quality, safety, protection of finished good...
